NISBETS LIMITED STANDARD TERMS & CONDITIONS OF SALE ('this agreement')

In this Agreement,
the “Customer” means any person who places an Order with Nisbets (either as a private consumer or as or on behalf of a business);

the "Goods"
means any items sold or supplied by Nisbets under an Order;

"Nisbets"
means Nisbets Limited, a company incorporated in England with company number 01693112 and a registered address at Fourth Way, Avonmouth, Bristol, BS11 8TB, United Kingdom;

"Order"
means any request or order (via phone, web order (excluding Ebay or Amazon) or mail order) to purchase the Goods, and;

the "Parties"
refers to the Customer and Nisbets

  1. Validity
    1. 1.1 This Agreement is the only form of contract between the Parties and any Customer terms and conditions will not apply unless expressly agreed in writing. By submitting an Order, the Customer agrees to apply the terms and conditions of this Agreement in priority over any other agreement between the Parties except previously agreed Nisbets Credit Account terms and conditions which, where conflict arises, take precedence over this Agreement.
    2. 1.2 Any Order is subject to acceptance by Nisbets. Nisbets is not obliged to accept any Order or to justify refusal of the same. Receipt of payment for Goods by Nisbets does not in itself constitute acceptance by Nisbets of the Order.
    3. 1.3 Nisbets may vary the terms and conditions of this Agreement from time to time by publishing new terms and conditions on the Nisbets website or catalogue.
  2. Goods being Sold
    1. 2.1 Descriptions and specifications for the Goods are set out on the Nisbets website at the time of the Order or the Nisbets catalogue from which the Order is placed provided the catalogue is current at the time of the Order.
    2. 2.2 Goods ordered in a specific colour, pattern or design are sold subject to stock availability and Nisbets may substitute the Goods with newer items or items of comparable or better quality, alternative colour, pattern or design with the Customer’s approval.
    3. 2.3 If any Goods are unavailable or out of stock then Nisbets may cancel the Order in whole or in part and refund any monies paid or issue a credit note. Alternatively, Nisbets may vary the Order with the Customer’s approval.
    4. 2.4 Customers placing Orders for age-restricted goods such as solvents and knives confirm that they are over 18 years of age and that delivery will be accepted by a person over 18 years of age.
  3. Terms of Payment and Payment Methods
    1. 3.1 The Goods shall be payable at the prices listed on the Nisbets website at the time of the Order. Pricing in the Nisbets catalogue is indicative only. Nisbets reserves the right to update prices at any time. In the event of any conflict between prices for the Goods on the Nisbets website or catalogue, the pricing on the Nisbets website will prevail. A delivery and/or insurance charge may be payable in addition to the price of the Goods. All prices are quoted in British Pound Sterling.
    2. 3.2 Unless otherwise stated, all prices quoted exclude Value Added Tax (“VAT”). Any such VAT shall be charged in accordance with the relevant regulations in force at the time of the Order.
    3. 3.3 Occasionally an error may cause the price/description published or advertised for Goods to be incorrect, in which case Nisbets shall be under no obligation to honour the incorrect price or Order.
    4. 3.4 Payment for Goods and Delivery may be made by any of the options listed on the Nisbets website. Payment by cheques is no longer accepted. Cash usually requires a minimum of 6 working days to clear and the Customer account, order or quote number MUST be referenced with payment. Nisbets reserves the right to withhold or refuse further shipments of Goods until all overdue accounts are settled. Any payments returned unpaid by a bank will be subject to an administration fee of £25.00.
    5. 3.5 Nisbets reserves the right to charge interest at 8% above the base lending rate of the Bank of England calculated monthly on late or overdue payments by the Customer.
    6. 3.6 All Orders may be subject to further credit or security checks.
    7. 3.7 Nisbets’s Price Promise applies to any lower published price for a like-for-like product offered on the same terms in the UK. Like-for-like means Goods should be the same brand and specification. The goods must be offered with the same delivery service and warranty as Nisbets’s and the competitor must have stock availability at the time of ordering. The price will not be matched where there are ‘hidden extras’ such as delivery charges. In order to qualify, the price must be published in writing. Nisbets’s Price Promise excludes comparing like-for-like products from companies within the Nisbets group of companies.
  4. Delivery
    1. 4.1 Full delivery prices and options are listed on the Nisbets website or catalogue and subject to change from time to time.
    2. 4.2 Standard Delivery and Premium Delivery Orders will be sent for ‘next day delivery’ within the UK mainland subject to an Order (with the relevant delivery charge) being accepted by Nisbets before 6.00pm on a working day (a working day is a day other than weekends and bank/public holidays) and provided no additional security checks are required and the Goods are available. If the Order cannot be delivered ‘next day’ then delivery will usually be completed within 5 days.
    3. 4.3 Offshore/Remote deliveries will usually be despatched as soon as possible however the actual delivery time cannot be guaranteed and will vary depending on the delivery location.
    4. 4.4 Nisbets will use reasonable endeavours to meet delivery estimates in all cases however Nisbets cannot be held liable for any loss or damage due to delay in delivery.
    5. 4.5 Risk in the Goods transfers to the Customer at the time of delivery but title will not pass until payment has been made in full for the Goods in question.
    6. 4.6 Goods delivered are used, stored and installed at the Customer’s own risk and Nisbets will not be liable for any damage, loss or disruption caused by the same. Where installation/disconnection services have been ordered by the Customer, further charges, terms and conditions may apply as communicated by Nisbets to the Customer before delivery.
    7. 4.7 All large machinery, refrigeration and flat packed Goods are delivered to the front door of ground floor locations only. The delivery person/driver may at his/her discretion assist with delivering the Goods to a location within the premises nominated by the Customer, at the Customer’s sole risk.
  5. Warranties and Returns
    1. 5.1 Subject to the conditions in this Clause 5, Goods sold in the UK mainland may be returned for a refund, exchange or replacement within 30 days provided they are returned unused, in a saleable condition and in their original packaging. Goods that have been opened, marked/soiled, damaged or used will only be entitled to a partial refund (not exceeding 60% of the purchase price) after assessment by Nisbets. Goods deemed non-saleable will not be refunded and will only be returned at the Customer’s cost. Certain large or bulky items may also be subject to a restocking fee (usually £85). Certain Goods cannot be returned for hygiene reasons. Certain Goods such as knives must be returned in adequate postal packaging for health and safety reasons. Certain last-in-line or special-to-order Goods may also be non-returnable and will be flagged accordingly on the Nisbets website or catalogue. The carriage cost of returns may be refunded in whole or in part to the Customer at Nisbets’s discretion.
    2. 5.2 Goods are guaranteed against defects in accordance with the terms of the manufacturer’s warranty or for 1 year from delivery unless otherwise stated. Goods reported faulty within the specified warranty period may be repaired, replaced or exchanged at Nisbets’s discretion. Parts and labour under this warranty are guaranteed in the UK mainland only.
    3. 5.3 Goods that are missing from delivery or damaged due to delivery must be reported to Nisbets within 24 hours. Large Goods such as refrigerators must be inspected by the Customer on delivery for damage and an acceptance of delivery docket completed noting any damage that resulted from delivery.
    4. 5.4 The warranties in this Clause 5 do not apply to any defect in the Goods caused by the fault, negligence or failure of the Customer to use the goods for their normal intended purposes or failure to adhere to manufacturer instructions (including storage, use in incorrect environment, maintenance, de-scaling and cleaning). Gaskets, refrigerants, filter driers, shelves, tray slides, castors and legs, electric lamps, fuses, keys, locks, glass, filters, mains plugs and leads, hose connections and consumables are warranted to be free from defect on delivery only and any damage caused due to delivery must be reported to Nisbets within 24 hours to qualify for replacement, repair or refund at Nisbets’s discretion. Goods marked ‘semi-commercial’, ‘light-duty use only’ or similar must not be used as substitutes or replacements for heavy-duty or commercial-grade equipment. Goods marked ‘no commercial warranty’ are sold without any warranties unless otherwise stated. Certain Goods may be disposed of in accordance with Nisbets safety instructions for replacement, exchange or refund with Nisbets’s prior approval. Engineer call-outs and repairs carried out on non-warranty faults or defects may be subject to further charges including where the Customer has missed or is unduly late for an arranged call-out. No Goods will be sold on a ‘sale or return’ basis without prior written approval by Nisbets. Nisbets may in its reasonable discretion invalidate warranties for any Goods that have been or are suspected to have been altered, tampered with, serviced, repaired or attended to without Nisbets’s prior approval.
    5. 5.5 Old electrical & electronic equipment may be disposed of by prior arrangement in compliance with WEEE regulations. Full details of Nisbets’s WEEE compliance policy are available on the Nisbets website.
    6. 5.6 Statutory rights for Customers placing Orders as private consumers (as defined by law) are not affected.
  6. Termination
    1. 6.1 Nisbets reserves the right, by notice to the Customer, to cancel or suspend any Order where payment has not been received in accordance with Clause 3 of this Agreement.
    2. 6.2 Nisbets reserves the right to cancel any Order and/or terminate this Agreement if the Customer cannot pay its debts or becomes bankrupt or has a winding-up order made or appoints an Administrator, Liquidator, Receiver or similar is appointed over the whole or a substantial part of the assets and undertaking of the Customer.
    3. 6.3 Nisbets reserves the right to suspend or terminate performance of this Agreement where delivery or supply of the Goods and/or performance of this Agreement is affected by reasons out of Nisbets’s reasonable control such as force majeure, act of God, adverse weather and government intervention, sanction or legislation.
    4. 6.4 Nisbets reserves the right to cancel any Order where it is reasonably suspected that the Customer is not legally permitted to purchase any Goods specified in the Order (such as solvents and knives).
  7. Limitation of Liability
    1. 7.1 The Customer agrees that Nisbets will not be liable for any losses or damage suffered by the Customer including but not limited to damage to neighbouring or connected items or premises, consequential loss, loss of business, business interruption or loss of time due to the use or purchase of the Goods by the Customer. Nisbets will not be liable for any additional damage caused by the Customer’s failure to report a fault or defect in good time or failure to provide reasonable access to the Goods for repairs, service or engineer visits. Nothing in this Agreement shall exclude Nisbets’s statutory liability for injury or death.
    2. 7.2 Goods sold are not insured for delivery unless otherwise confirmed by Nisbets.
  8. Intellectual Property Rights and Confidentiality
    1. 8.1 Goods sold or supplied by Nisbets may be subject to copyright (whether owned by Nisbets or a third party) and the Customer covenants not to breach, infringe or prejudice any intellectual property and copyright associated with the Goods without approval. The Customer agrees to indemnify and hold Nisbets harmless for any breach of said covenant.
    2. 8.2 The Customer’s data protection and privacy rights under this Agreement are set out in Nisbets’s privacy policy (available on the Nisbets website).
  9. Jurisdiction
    1. 9.1 This Agreement is governed by English law and the Parties shall be subject to the exclusive jurisdiction of the English courts.
    2. 9.2 Any right or obligation contained in this Agreement shall be distinct and severable and if one or more of the same are declared invalid, illegal, void or unenforceable then the remainder shall continue in force and effect to the fullest extent permissible by law.

Terms and Conditions for Rewards and Rewards Plus

The following terms and conditions apply to the specific rewards listed below for Members in the relevant tier:

  1. Introduction
    1. 1.1 The Nisbets Rewards Loyalty Programme (the “Programme”) is a UK-based loyalty programme offered at the sole discretion of Nisbets Limited (“Nisbets”). These Terms and Conditions (the “Terms”) govern your participation in the Programme. By participating in the Programme, you (“You”, “Member”) agree to be bound by these terms. In addition to these Terms, Nisbets Standard Terms and Conditions shall apply and shall prevail in the event of any conflict between the two.
    2. 1.2 Nisbets has the right to change or modify these Terms and Conditions or terminate the Programme at any time, for any reason, without prior notice, even though such changes may affect the value of points already accumulated, the value of the rewards and/or the time for redemption. If we change the terms, we will give Members notice by posting the new terms on the Nisbets website. Those changes will go into effect on the “Last Updated” date shown in the revised terms.
  2. Eligibility
    1. 2.1 Membership is limited to individuals and businesses who are eligible to participate. By enrolling and participating in the Programme, you warrant and represent that you satisfy the eligibility requirements.
    2. 2.2 To participate in the Programme you must be at least 18 years old and a legal resident of the United Kingdom.
    3. 2.3 Officers, directors and employees of Nisbets and its respective parents, subsidiaries, and affiliates are not eligible to participate in the Programme.
    4. 2.4 Other individuals included in a Nisbets discount group, including but not limited to, Nisbets staff professionals and those who receive a discount through their participation in a retail sales associate training group, are not eligible to participate in the Programme.
    5. 2.5 Participation in the Programme may be excluded for certain customer groups at the discretion of Nisbets. This includes, but is not limited to, Uropa dealers, wholesale customers, Key Accounts, and customers on specific pricing structures or those subject to special supply agreements.
  3. Joining the Program
    1. 3.1 You may join the Programme by creating an account on the Nisbets Website.
    2. 3.2 No purchase is required to join the Programme. Membership is limited to one account per individual or business, and accounts are strictly non-transferable.
    3. 3.3 If you already have a Nisbets account, you are automatically enrolled in the Programme, and participation in the Programme will constitute agreement to these terms.
    4. 3.4 You may opt out of the Programme at any time by contacting Nisbets (see the section at the end of these terms headed “Contact us”) or, by opting out through the online program portal on our website.
    5. 3.5 You must provide and maintain true, accurate, current and complete information about Yourself in your Nisbets account. Failure to do so, may result in suspension or termination of Your participation in the Programme.
  4. Earning Points
    1. 4.1 As a Member of the Programme, you will earn Nisbets Loyalty Programme Points (“Points”) for purchases that you make through the Nisbets website, including regular and sale priced merchandise.
    2. 4.2 Points will not be awarded for:
      1. 4.2.1 the purchase of gift cards.
      2. 4.2.2 sale tax and shipping costs associated with your purchase;
      3. 4.2.3 transactions prior to the start of the Programme; and
      4. 4.2.4 purchases made with points as the form of payment.
    3. 4.3 If a Member returns items purchased, any Points awarded for those items will be deducted from the Member's Point’s balance. Nisbets reserves the right to adjust the Member’s account accordingly.
    4. 4.4 Members must be logged into their Nisbets account to receive eligible Points for the purchase.
    5. 4.5 Nisbets reserves the right, in its absolute discretion, to retrospectively credit Points for interactions where a Member was not logged in, subject to the Member providing sufficient proof and any such other information as Nisbets may reasonably request in connection with the relevant purchase.
    6. 4.6 Existing Nisbets account holders may start earning Points as soon as the Programme is made available.
    7. 4.7 New Members will earn Points from the date they create a Nisbets account.
    8. 4.8 Points will be credited to the Member’s account approximately 15 days after the order has been despatched. Prior to this, Points will be marked as pending and will not be available for redemption.
  5. Additional Points
    1. 5.1 In addition to earning Points for purchases, Members can earn Points for interactions with Nisbets. These include but are not limited to the following:
      1. 5.1.1 creating a Nisbets account profile: If a Member logs onto their Nisbets account and completes their full profile, the Member will earn Points;
      2. 5.1.2 complete a survey: Nisbets may invite Member’s to participate in surveys. A Member who completes a survey will earn points for each survey completed;
      3. 5.1.3 a Member who refers a friend to Nisbets to create an account and join the Programme, will receive points;
      4. 5.1.4 leave a review on Trustpilot: A Member can earn Points on reviews after purchasing an item(s) on the Nisbets website. Members may earn Points per review, with a limit of 3 reviews per calendar month; or
      5. 5.1.5 a Member may earn an additional points for following Nisbets on Facebook, Instagram, You Tube and LinkedIn.
    2. 5.2 From time to time, Nisbets, in its sole discretion, may change, discontinue, or add interactions by which Members can earn Points, and the number of Points earned, with or without prior notification to Members.
  6. Expiration of Points
    1. 6.1 All Points earned by Members are valid for 365 days from the date they are credited to a Members account and will expire at the end of this period on a rolling basis unless Nisbets explicitly states otherwise.
    2. 6.2 Points are not transferrable, have no cash value, and cannot be exchanged for cash or redeemed otherwise than as set out in these Terms and Conditions.
  7. Reward Programme Tiers
    1. 7.1 The Programme consists of two tiers: Rewards (Free) and Rewards Plus (Paid).
    2. 7.2 Nisbets Rewards is a free programme open to all customers with a Nisbets account (who are not on special rates). Points earned through the Programme may be redeemed for vouchers to spend on future purchases at Nisbets.
    3. 7.3 Nisbets Rewards Plus is a paid subscription with an annual subscription fee of £99 ex.VAT. In return, Members will receive £100 in vouchers, issued as four £25 vouchers, one every three months for the following twelve-month period. Such vouchers can be used to spend on Nisbets products. Members enrolled in Rewards Plus will benefit from double the points on purchases, free standard delivery on all orders and early access to offers.
    4. 7.4 There is no minimum spend requirement for either tier of the Rewards Programmes
  8. Benefits
    1. 8.1 Members will have access to the benefits in their current Programme tier and the tier below. For a full list of benefits available to Members, please refer to the Nisbets Programme FAQs.
    2. 8.2 Early Notice of Online Exclusives: This benefit entitles eligible Rewards Plus Members to receive e-mail notification regarding products offered exclusively on the Nisbets website before others. This benefit does not guarantee availability of products.
    3. 8.3 Bonus Points: From time to time, Nisbets may award eligible Members bonus Points.  Such Points are subject to the same terms and expiration as Points earned through the Member’s purchase of products.
    4. 8.4 All benefits provided under the Programme are subject to change, discontinuance, limitations, and substitutions at the sole discretion of Nisbets, at its discretion and may be amended or revoked at any time without prior notice.
  9. Redeeming Points
    1. 9.1 When shopping on the Nisbets website, You will be able to view the number of Points You will earn for buying that product. By adding items to Your Basket You will see the total amount of Points You will earn for that transaction when You check out. The total Points earned will be displayed on the order confirmation.
    2. 9.2 Upon reaching a target set by Nisbets, a Member can earn a voucher that can be redeemed for the specified number of Points associated with the voucher amount. The Member may choose to redeem the voucher, at which point they will have 30 days to use it towards a purchase from the date they press “redeem voucher”. The Member may choose to continue to accumulate Points towards the next voucher target and not redeem the current voucher. Voucher targets set out are:
      • 250 points = £5 voucher
      • 500 points = £10 voucher,
      • 1000 points = £20 voucher,
      • 2500 points = £50 voucher,
      • 5000 points = £100 voucher.
    3. 9.3 Points cannot be converted to, or exchanged for cash.  In the event of a return of items purchased using Points, the Points redeemed will be credited back to the Member’s account.
  10. Use of Account
    1. 10.1 Members are responsible for maintaining the confidentiality of their account, password and are fully responsible for any and all activities that occur under their account or any other breach of security
    2. 10.2 Membership is limited to one account per individual or business, and accounts are strictly non-transferable.
    3. 10.3 The transfer, sale, or barter (or the attempted transfer, sale, or barter) of Points or corresponding benefits, and any misrepresentation of fact relating thereto, may result in cancellation of the Member’s account and participation in the Programme, including cancellation of any unused Points or benefits in Nisbets’ sole discretion. 
  11. Privacy and Consent to Marketing
    1. 11.1. The information you provide as a Member of the Programme will be managed by Nisbets as described in our Data Protection Notice.
    2. 11.2. By becoming a Member of the Programme you consent to receive marketing communications from Nisbets.
  12. Termination, Expiration, Changes to the Programme
    1. 12.1 You may cancel your Programme membership at any time by contacting us.
    2. 12.2 We may cancel your Programme membership at any time if we determine that you;
      1. 12.2.1 are ineligible;
      2. 12.2.2 have not used your account for longer than twelve months;
      3. 12.2.3 violated any term or condition of the Programme or any applicable law or regulation;
      4. 12.2.4 engaged in any deception, forgery, fraud, or committed any other abuse of the Programme; or
      5. 12.2.5 or you are in breach of any other terms or conditions with Nisbets including web user terms and conditions, Nisbets standard terms and conditions or otherwise; or
      6. 12.2.6 if Nisbets cease generally to run the Programme. 
    3. 12.3 Nisbets may revoke some or all of Members Points or benefits if Nisbets determines that a Member has received them in error, due to fraud or deception, or in any manner not authorised.
    4. 12.4 If you or Nisbets cancels your membership, you will lose your accumulated Points.  If you cancel your membership, you may rejoin the Programme. When re-joining the Programme, previously earned points will not carry over to your new membership.
    5. 12.5 If you cancel Rewards Plus (paid tier) membership you will still receive the benefits you have paid for until the end of that annual period, (free delivery and double points). The £99 you paid to join is non-refundable.
    6. 12.6 In all matters relating to the administration of the Programme, the decisions of Nisbets will be final. Nisbets reserves the right to make changes or cancel any aspect of the Programme at any time which have general application and in order to meet the needs or requirements of the Nisbets business or to comply with any changes in the law.  If we change these Terms, we will give you notice by posting the revised Terms here.  The changes will take effect on the “Last Updated” date shown in the Terms.  By continuing to participate in the Programme, you are agreeing to the revised Terms.
